§ 2.12.080. Wichita Art Museum—Contract for operation and management.

(a)

Any contract entered by the city under the authority of Section 2.12.070 shall substantially conform to the following minimum requirements:

(1)

The corporation shall maintain its status as a non-for-profit Kansas corporation, exempt from taxation under Section 501(c)(3) of the Internal Revenue Code, and shall maintain articles of incorporation and by-laws consistent with the ordinance codified in this section.

(2)

The corporation shall operate though a board of trustees consisting of not to exceed thirty-six members who shall serve without compensation.

(3)

The board of trustees shall act as a whole on major issues of policy. The administration and daily operation of the museum shall be left to a director to be employed by the board of trustees.

(4)

The board of trustees shall adopt the necessary rules and regulations for the exhibition and maintenance of the objects of art held or exhibited at the Wichita art museum.

(5)

The board of trustees shall submit an annual budget for approval by the city council.

(6)

The city shall continue to retain title to and be responsible for the objects of art titled in the name of the city or the Wichita art museum. No title or any interest in such property shall be transferred, encumbered, or disposed of except by action of the board of trustees, upon approval of the city council.

(7)

The corporation operating through its board of trustees shall have such authority and duties pertaining to the operation of the Wichita art museum as may be agreed from time to time by the city council and the board of trustees of the corporation.

(8)

The agreement may be terminated by the parties at any time upon mutual agreement, by either party upon written notice, or by either party immediately upon material breach of the agreement.

(b)

Upon termination of the contract, the city council shall retain all powers and authority over the operation and management of the Wichita art museum and ownership of all objects of art held in the name of the city or the Wichita art museum.
